1. Acceptance of Terms

By accessing or using the services of Assertiv Logix ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

Assertiv Logix provides WordPress development, WooCommerce solutions, custom plugin development, and related web development services. Specific services, deliverables, timelines, and pricing will be outlined in individual project agreements or proposals.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for project completion
• Provide necessary assets, content, and access credentials in a timely manner
• Review and provide feedback on deliverables within agreed timeframes
• Make payments according to agreed schedules
• Ensure you have the right to use any content, images, or materials you provide

4. Project Proposals and Agreements

Each project will be governed by a separate written agreement or proposal that outlines:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revisions and change request procedures
• Warranty and support terms

5. Payment Terms

Payment terms will be specified in each project agreement. Generally:

• A deposit is required to begin work
• Progress payments are tied to project milestones
• Final payment is due before final deliverables are released
• Late payments may incur interest or project suspension

6. Intellectual Property

Client Ownership: Upon full payment, you own all final deliverables, custom code, and designs created specifically for your project, unless otherwise agreed.

Our Rights: We retain the right to use general knowledge, skills, and experience gained during our work. We may also use non-proprietary components, frameworks, or code libraries in other projects.

Third-Party Assets: You are responsible for ensuring proper licensing of any third-party assets (images, fonts, plugins) used in your project.

7. Revisions and Changes

The number of revisions included in each project will be specified in the project agreement. Additional revisions or scope changes may incur additional charges and may affect project timelines.

8. Warranty and Support

We warrant that our services will be performed in a professional manner and that deliverables will function as described in the project agreement. This warranty does not cover:

• Issues caused by third-party plugins, themes, or services
• Modifications made by you or third parties after delivery
• Server or hosting issues beyond our control
• Browser or device compatibility issues outside agreed scope

Ongoing support and maintenance plans are available as separate services.

9. Limitation of Liability

To the fullest extent permitted by law, Assertiv Logix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from or related to our services.

10. Confidentiality

We agree to keep confidential all non-public information you provide during our engagement. We will not disclose such information to third parties except as necessary to perform our services or as required by law.

11. Termination

Either party may terminate the engagement with written notice. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work for which payment has been made
• Any outstanding balances become immediately due

12. Website Hosting and Maintenance

If we provide hosting or maintenance services:

• Service terms will be outlined in a separate agreement
• You remain responsible for website content and compliance
• We reserve the right to suspend services for non-payment or policy violations

13. Indemnification

You agree to indemnify and hold Assertiv Logix harmless from any claims, damages, or expenses arising from your use of our services or any content you provide.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Gujarat, India. Any disputes shall be resolved in the courts of Ahmedabad, Gujarat.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
